CloudDurian Terms of Service

These Terms govern your use of clouddurian.com and purchases of the Factory Cost Check. GUANHAO, operating the CloudDurian website ("CloudDurian"), is the legal service provider.
1. Acceptance and eligibility
By using the site, submitting an intake, purchasing the Factory Cost Check, or accepting a related invoice or payment request, you agree to these Terms and acknowledge the Privacy Policy. You represent that you are at least 18 years old, have authority to act for the identified client or company, and can enter a binding agreement.
2. Factory Cost Check
The Factory Cost Check is a fixed-scope service for one existing product unless otherwise agreed in writing. The formal deliverable may be titled a Real Quote-Based Manufacturing Cost Benchmark.
The service may include supplier market screening, direct communication with relevant manufacturers, a target of three comparable factory quotations, clarification of quote assumptions, apples-to-apples normalization of material, process, packaging, quality, tooling, MOQ, lead time, payment terms and other commercial assumptions, and a written Keep / Renegotiate / Re-source recommendation.
Supplier response rates vary by product and market. If three comparable quotations cannot reasonably be obtained, the deliverable will document the outreach performed, evidence obtained, and resulting confidence level. Supplier introductions or supplier contact details are not included unless expressly agreed in writing.
The typical delivery window is 3–7 business days after cleared payment and receipt of a sufficiently complete intake. Requests for missing information pause the delivery period. Actual timing may vary with project complexity, supplier responsiveness, and current review volume.
3. Decision-support nature and no guarantee
The Factory Cost Check provides manufacturing cost decision support based on customer-provided information, supplier statements, public information, AI-assisted research or drafting, and human review.
We do not guarantee savings, a lower supplier price, supplier availability, supplier performance, product quality, compliance, delivery dates, or commercial results. A Keep recommendation can be the correct outcome where current pricing is competitive or lower alternatives introduce unacceptable tradeoffs.
The service is not engineering certification, laboratory testing, legal advice, tax advice, customs advice, regulatory approval, product-safety approval, or a substitute for independent verification before production commitments.
4. Client responsibilities
You agree to provide accurate and timely information about the product and current cost structure, identify material quality or compliance requirements, and only provide drawings, specifications, links, files, trademarks, and other materials that you are authorized to share.
You remain responsible for final supplier selection, negotiation, purchase orders, tooling, deposits, product safety, regulatory compliance, intellectual-property decisions, import obligations, and production approval.
5. Supplier communications and third parties
By purchasing a Factory Cost Check that includes supplier outreach, you authorize us to communicate approved product and commercial requirements to relevant manufacturers for benchmarking purposes. We do not have authority to bind you, place an order, approve tooling, accept a quotation, or commit funds.
Factories, payment providers, infrastructure providers, and other third parties are independent. Supplier quotations and statements remain subject to confirmation, verification, validity periods, and changing commercial conditions.
6. Price, payment, and taxes
The standard price of the Factory Cost Check is $499 in United States dollars. Promotional pricing may apply. Your actual fee is the amount shown on the website, invoice, or payment request and accepted at the time of purchase.
Payment may be processed by Payoneer, PayPal, or another provider identified in the payment request or invoice.
Unless expressly stated otherwise, the price excludes taxes, duties, supplier charges, samples, tooling, freight, testing, inspection, certification, travel, and other third-party costs. We may require cleared payment before substantive work begins.
7. Cancellation and refunds
The Factory Cost Check is customized professional work. Except where applicable law requires otherwise, the fee actually paid becomes non-refundable once substantive work begins, including supplier screening or outreach, quotation review, research, normalization, analysis, or preparation of the written benchmark.
A Keep, Renegotiate, or Re-source recommendation, failure to obtain three comparable quotations despite reasonable outreach, or supplier information that later changes does not itself create a refund right.
Before substantive work begins, you may request cancellation by emailing [email protected]. If we cancel the engagement before earning the full fee, we will return any clearly unearned portion, less non-recoverable third-party or payment-processing charges where lawful. Nothing in this section limits refund, cancellation, chargeback, or consumer rights that cannot legally be waived.
8. Confidentiality and intellectual property
You retain ownership of materials you provide. We use them to perform and administer the Factory Cost Check. You should identify highly sensitive trade secrets before supplier disclosure; special NDA, NNN, data-room, or disclosure-control arrangements may require separate written agreement before outreach.
We retain ownership of pre-existing templates, methods, prompts, software, research processes, know-how, and non-client-specific materials. After full payment, you may use the final client-specific deliverable internally for the assessed product. Resale or public redistribution of the deliverable as a competing template requires written permission unless applicable law provides otherwise.
9. Limitation of liability
To the maximum extent permitted by law, neither the service provider nor its personnel will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost production, supplier failure, recall costs, business interruption, or lost opportunity arising from the Factory Cost Check or third-party conduct.
To the maximum extent permitted by law, aggregate liability arising from the Factory Cost Check will not exceed the fee actually paid for that specific service. These limits do not apply where liability cannot lawfully be limited, including applicable exclusions for fraud or willful misconduct.
10. Disputes and mandatory rights
The parties should first attempt in good faith to resolve a dispute through written notice to [email protected]. If no separate written agreement specifies a lawful governing law or forum, disputes must be brought before a court or tribunal with lawful jurisdiction over the parties and subject matter.
Nothing in these Terms excludes or limits mandatory consumer, privacy, payment, cancellation, or other rights that cannot legally be waived.
11. Changes and contact
We may update these Terms. The effective date identifies the current version. The version accepted when you submit the intake or enter the paid engagement applies to that transaction unless a later written agreement is accepted.
